Vista Lighting Terms of Service

Overview

This website and online store are operated by Vista Lighting, a business of Vista Capital Groups LLC (“Vista Lighting,” “we,” “us,” or “our”).

By accessing VistaLighting.co, creating an account, submitting information, requesting a quotation, or purchasing products from us, you agree to these Terms of Service (“Terms”) and the policies incorporated into them, including our Return Policy, Shipping & Delivery Policy, and Privacy Policy.

Our ecommerce store is hosted by Shopify, which provides technology used to operate the online storefront and process transactions.

1. Eligibility & Acceptable Use

By using the Services, you represent that you have legal capacity to enter into these Terms.

You may not use the Services:

  • For unlawful purposes

  • To violate intellectual property rights

  • To submit fraudulent or misleading information

  • To interfere with website security

  • To transmit malicious code

  • To access restricted systems without authorization

Vista Lighting may restrict access where reasonably necessary to protect the business, customers, or Services.

2. Authorized Dealer Business Model

Vista Lighting operates as an authorized dealer and distributor of products manufactured by third parties.

Many orders are fulfilled directly by the applicable manufacturer rather than from inventory owned or warehoused by Vista Lighting.

Manufacturer availability, lead times, specifications, pricing, freight, production status, and return restrictions may therefore affect fulfillment.

3. Product Information

Vista Lighting makes reasonable efforts to provide accurate:

  • Product descriptions

  • Dimensions

  • Specifications

  • Pricing

  • Finish information

  • Images

  • Availability information

However, manufacturer information may change, and photographic or screen representation of colors and finishes may vary.

Manufacturer specification sheets and written project requirements should be reviewed before installation, framing, electrical rough-in, or other irreversible project work.

Customers and their contractors remain responsible for determining product suitability for the intended application.

4. Pricing

Prices may change without notice prior to order acceptance.

Vista Lighting may correct pricing, specification, promotional, inventory, or typographical errors.

If an error materially affects an order, Vista Lighting may contact the customer for approval, correct the order, or cancel and refund the affected transaction as appropriate.

Trade pricing, commercial quotations, negotiated project pricing, and other account-specific pricing may be governed by separate terms.

5. Order Acceptance

Submitting payment does not necessarily constitute final manufacturer acceptance or inventory allocation.

An order may require:

  • Payment verification

  • Fraud review

  • Manufacturer inventory verification

  • Freight verification

  • Product eligibility confirmation

  • Address verification

Vista Lighting may reject or cancel an order where reasonably necessary because of fraud concerns, pricing errors, supplier inability to fulfill, legal restrictions, or other legitimate operational reasons.

If Vista Lighting cancels an unfulfilled consumer order, any payment due back to the customer will be refunded as required by applicable law.

6. Payment

You authorize Vista Lighting and its payment processors to charge the payment method provided for authorized amounts associated with your order.

Applicable taxes, freight, delivery services, or other charges will be disclosed as required.

Payment information is processed through third-party payment providers, including Shopify and supported payment networks.

7. Availability, Lead Times & Delays

Product availability and lead times are estimates based on information reasonably available from manufacturers and suppliers.

Vista Lighting does not manufacture most products sold through the website and cannot guarantee supplier inventory or production schedules unless expressly agreed in writing.

If an order cannot ship within the promised or legally required period, Vista Lighting will provide delay notices, cancellation options, refunds, or obtain consent to continued delay where required by applicable law.

8. Order Cancellations

Cancellation requests must be submitted promptly to Sales@VistaLighting.co.

Cancellation is not confirmed until Vista Lighting provides written confirmation.

Orders already transmitted to a manufacturer, allocated, customized, manufactured, processed, or shipped may be subject to manufacturer cancellation restrictions or charges.

Nothing in this section limits cancellation or refund rights that apply because of legally regulated shipping delays or other non-waivable consumer rights.

9. Shipping & Delivery

Shipping and delivery are governed by the Vista Lighting Shipping & Delivery Policy.

Customers are responsible for providing accurate delivery information and complying with applicable freight access and appointment requirements.

Delivery dates are estimates unless expressly guaranteed in writing.

10. Returns & Refunds

Returns and exchanges are governed by the Vista Lighting Return Policy.

Many products are manufacturer-direct and may carry manufacturer-specific:

  • Restocking fees

  • Return freight requirements

  • Authorization requirements

  • Return windows

  • Non-returnable classifications

Return authorization does not guarantee a refund until merchandise has been received, inspected, and approved.

11. Damaged, Defective or Incorrect Products

Customers should inspect merchandise promptly after delivery.

Damage, defect, shortage, or incorrect-product claims should be submitted to Sales@VistaLighting.co as quickly as possible with supporting documentation.

Manufacturer warranties, carrier claims, replacement procedures, and claim deadlines may apply.

12. Custom & Special Orders

Custom, modified, made-to-order, and certain special-order products may become non-cancellable and non-returnable after approval, production, allocation, or processing begins.

Applicable restrictions should be confirmed before purchase.

Custom product specifications supplied or approved by the customer are the customer's responsibility to review for accuracy before production.

13. VistaTrade+ & Commercial Purchases

VistaTrade+ and other professional or commercial programs may provide approved accounts with professional pricing, project support, or other benefits.

Eligibility and benefits may change.

Commercial quotations, project orders, custom orders, large-quantity purchases, negotiated pricing, and professional accounts may be subject to separate written terms.

Where separate written terms conflict with these Terms, the order-specific agreement controls to the extent legally enforceable.

14. Professional Installation & Project Responsibility

Vista Lighting does not provide electrical, architectural, engineering, or installation services unless expressly stated in writing.

Customers are responsible for engaging qualified professionals where appropriate.

Product recommendations, manufacturer information, and specification assistance provided by Vista Lighting do not replace professional engineering, architectural, electrical, code-compliance, or installation review.

15. Reviews & User Content

If you voluntarily submit reviews, photos, testimonials, comments, or similar content, you grant Vista Lighting a non-exclusive, worldwide, royalty-free license to use and display that material for legitimate business and marketing purposes, subject to applicable law.

You represent that you have the right to provide submitted content.

16. Third-Party Services

Vista Lighting uses third-party providers for functions including ecommerce hosting, payment processing, shipping, analytics, communications, advertising, and other business services.

Third-party services may be governed by their own policies and terms.

Vista Lighting is not responsible for independent third-party services outside its reasonable control.

17. Intellectual Property

Vista Lighting branding, original website content, graphics, layout, and other proprietary materials are protected by applicable intellectual property law.

Manufacturer trademarks, photographs, specifications, and product materials remain the property of their respective owners or licensors.

Unauthorized reproduction or commercial exploitation is prohibited.

18. Prohibited Conduct

You may not:

  • Use the Services unlawfully

  • Commit fraud

  • Impersonate another person or entity

  • Interfere with system security

  • Introduce malware

  • Attempt unauthorized access

  • Use automated systems in a manner that materially disrupts the Services

  • Infringe third-party rights

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Vista Lighting provides the website and Services on an “as available” basis.

Manufacturer products may be covered by applicable manufacturer warranties.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Vista Lighting will not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the Services or products, including project delay or lost business opportunity.

Where liability cannot lawfully be excluded, any limitation will apply only to the maximum extent permitted by law.

Nothing in these Terms limits liability that cannot legally be limited.

21. Indemnification

To the extent permitted by law, you agree to indemnify Vista Lighting against third-party claims arising from your unlawful misuse of the Services, violation of these Terms, or infringement of third-party rights.

22. Severability

If any provision is held unenforceable, the remaining provisions remain effective to the extent permitted by law.

23. Termination

Vista Lighting may suspend or terminate website or account access where reasonably necessary because of misuse, fraud, security threats, or violation of these Terms.

Obligations arising from transactions completed before termination survive where applicable.

24. Governing Law

These Terms are governed by applicable federal law and the laws of the State of Colorado, without regard to conflict-of-law principles.

Any venue or jurisdiction provision applies only to the extent permitted by applicable law.

25. Changes

Vista Lighting may update these Terms periodically.

The updated version will be posted with a revised date.

For purchases, the version applicable at the time of the transaction will generally govern unless applicable law requires otherwise.
